6.1 Use at Your Own Risk

6.2.1 The Platform operates as a directory and listing service only.

6.2.2 We do:

(a) act as an agent for any business, organisation, or individual listed on the Platform;

(b) verify the accuracy, quality, or suitability of any goods or services offered by third parties;

(c) guarantee the qualifications, credentials, or legitimacy of any listed business or individual.

6.2.3 You are responsible for independently verifying the suitability, quality, and reliability of any goods or services before engaging with any third party.

6.3 No Reliance on Information

6.3.1 The content available on the Platform is provided for general information purposes only.

6.3.2 You must not rely on the Platform as a substitute for professional, legal, financial, or technical advice.

6.3.3 We do not guarantee the accuracy, completeness, or reliability of:

7. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any of the following losses or damages, whether direct or indirect, foreseeable or otherwise:

(a) loss of revenue;

(b) loss of profits (actual or anticipated);

(c) loss of business or business opportunities;

(d) loss of anticipated savings;

(e) loss of goodwill or reputation;

(f) loss, damage to, or corruption of data or software;

(g) wasted expenditure;

(h) any indirect, consequential, or special loss or damage.

7.5 Limitation of Liability

7.5.1 Where we are found to be liable for any loss or damage, such liability shall be limited to losses that arise directly from our breach of these Conditions.

7.5.2 We shall not be liable for any loss or damage arising from:

(a) your use of, or reliance on, the Platform;

(b) your inability to access or use the Platform;

(c) any errors, omissions, or inaccuracies in content;

(d) any interruption, delay, or failure caused by events outside our reasonable control;

(e) unauthorised access to or alteration of your data;

(f) any goods, services, or information obtained from third parties via the Platform;

(g) any content submitted, transmitted, or received through the Platform.

7.6 Third-Party Services

We are not responsible for any goods, services, or transactions carried out between you and any third party through or as a result of using the Platform.

8. Indemnity

8.1 User Indemnity

8.1.1 You agree to indemnify, defend, and hold harmless Mercury Infotech Limited, its directors, officers, employees, affiliates, and representatives (collectively, the “Chai Pe Charcha Personnel”) from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your breach of these Conditions;

(b) your misuse of the Chai Pe Charcha Websites;

(c) any content submitted, uploaded, or otherwise provided by you;

(d) your infringement of any intellectual property rights, privacy rights, or other rights of any third party;

(e) any interaction, transaction, or dispute between you and any third party arising through or in connection with the Platform.

8.2 Scope of Indemnity

8.2.1 This indemnity applies to all claims, whether actual or threatened, and includes:

(a) direct and indirect losses;

(b) financial losses, damages, and compensation payments;

(c) legal costs, court fees, and professional expenses;

(d) any settlements or judgments arising from such claims.

8.3 Continuing Obligation

8.3.1 Your obligations under this section shall survive the termination or suspension of your access to the Platform.

9. General

9.1 No Waiver

9.1.1 If either party fails to enforce any provision of these Conditions, this shall not constitute a waiver of that provision or any other rights.

9.1.2 Any waiver must be expressly agreed in writing to be effective.

9.2 Severability

9.2.1 Each provision of these Conditions shall be interpreted independently.

9.2.2 If any provision (or part of a provision) is found to be invalid, unlawful, or unenforceable, it shall be deemed modified or removed to the minimum extent necessary.

9.2.3 The remaining provisions shall continue in full force and effect.

9.3 Third-Party Rights

9.3.1 A person who is not a party to these Conditions shall have no right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.

10. Entire Agreement and Governing Law

10.1 Entire Agreement

10.1.1 These Conditions constitute the entire agreement between you and us in relation to your use of the Chai Pe Charcha Websites.

10.1.2 They supersede and replace all prior agreements, discussions, representations, or understandings (whether written or oral) relating to the same subject matter.

10.2 Governing Law

10.2.1 These Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

10.3 Jurisdiction

10.3.1 You agree that the courts of England and Wales shall have jurisdiction to resolve any dispute arising in connection with these Conditions.

10.3.2 Notwithstanding the above, we reserve the right to bring proceedings against you in the courts of the country in which you are resident or domiciled.

10.4 International Access

10.4.1 The Chai Pe Charcha Websites are controlled and operated from the United Kingdom.

10.4.2 If you access the Platform from outside the United Kingdom, you are responsible for ensuring that your use complies with applicable local laws.

11. Introductory Offer – Free Trial

11. Service Fees and Commencement of Charges

Mercury Infotech Limited shall charge business users a fee per month per business location for access to its services.

Charges shall commence on 1 August 2026, regardless of the date of registration or activation of the business listing, unless otherwise agreed in writing.

From 1 August 2026, fees will be billed on a recurring monthly basis and shall continue unless and until the service is cancelled in accordance with Mercury Infotech’s terms.

Mercury Infotech reserves the right to amend its pricing upon providing reasonable notice to users.

11.1 Availability of Offer

11.1.1 Mercury Infotech Limited may, at its sole discretion, offer new business users a limited introductory period of up to three (3) months free of charge for selected services (the “Free Trial Period”).

11.1.2 The availability, duration, and scope of the Free Trial Period may vary and are not guaranteed.

11.2 Commencement of Free Trial

11.2.1 The Free Trial Period shall commence from the date on which the relevant business listing or service is activated on the Platform.

11.3 Scope of Free Trial

11.3.1 During the Free Trial Period, eligible users will have access to the agreed services without payment of subscription/ direct debit or listing fees.

11.3.2 The Free Trial applies only to the specific services identified at the time of activation and does not extend to any additional features, upgrades, or third-party services unless expressly stated.

11.4 Charges Following Free Trial

11.4.1 Upon expiry of the Free Trial Period, standard charges shall automatically apply unless otherwise agreed in writing.

11.4.2 It is your responsibility to be aware of the expiry date of the Free Trial Period and any applicable charges thereafter.

11.4.3 Continued use of the services after the Free Trial Period constitutes acceptance of applicable fees.

11.5 Eligibility and Restrictions

11.5.1 The Free Trial is available to new customers only.

11.5.2 We reserve the right to determine eligibility for the Free Trial at our sole discretion.

11.5.3 The Free Trial may not be:

(a) transferred, sold, or assigned;

(b) combined with other promotions or discounts;

(c) claimed multiple times by the same individual, business, or related entity.

11.5.4 We reserve the right to withdraw or deny access to the Free Trial where we reasonably believe it is being misused or abused.

11.6 Modification and Withdrawal

11.6.1 We reserve the right to modify, suspend, or withdraw the Free Trial offer at any time without prior notice.

11.6.2 Such changes shall not affect any Free Trial Period already activated, unless required for legal, operational, or security reasons.

11.7 No Warranty or Guarantee

11.7.1 The Free Trial is provided on a discretionary and “as available” basis.

11.7.2 We make no guarantees regarding:

(a) the continued availability of the Free Trial;

(b) the performance or outcomes of services during the Free Trial Period;

(c) the conversion of trial services into paid services.

11.8 Liability

11.8.1 To the fullest extent permitted by law, we shall not be liable for any loss, damage, or expectation arising from:

(a) the availability or unavailability of the Free Trial;

(b) the termination or modification of the Free Trial;

(c) your decision to rely on or participate in the Free Trial.

12. Payment and Billing

12.1 Charges and Fees

12.1.1 Certain features or services offered on the Chai Pe Charcha Websites may be subject to fees, including but not limited to paid listings, promotional services, or subscription/ direct debit-based features.

12.1.2 All applicable fees, pricing structures, and payment terms will be communicated to you at the time of purchase or activation of the relevant service.

12.2 Billing and Payment Terms

12.2.1 Unless otherwise stated, all fees are payable in advance for the selected service period.

12.2.2 Where subscription/ direct debit services are provided, billing may occur on a recurring basis (e.g. monthly or annually), as specified at the time of purchase.

12.2.3 You authorise us to charge the applicable fees using the payment method provided by you.

12.3 Payment Due Date

12.3.1 All payments must be made on or before the due date specified at the time of purchase or billing.

12.3.2 Failure to make payment by the due date may result in suspension or restriction of access to the relevant services.

12.4 Failed Payments

12.4.1 If a payment fails or is declined for any reason:

(a) we may attempt to process the payment again;

(b) we may suspend or restrict access to the relevant services until payment is successfully received;

(c) we reserve the right to terminate the service if payment remains outstanding.

12.5 Suspension for Non-Payment

12.5.1 We reserve the right to suspend, limit, or remove listings, features, or account access where payment is overdue.

12.5.2 Such suspension does not relieve you of your obligation to pay any outstanding fees.

12.6 Refunds

12.6.1 Unless otherwise expressly stated in writing, all fees paid to us are non-refundable.

12.6.2 No refunds shall be provided for:

(a) partial use of services;

(b) unused periods of subscription/ direct debit;

(c) suspension or termination due to breach of these Conditions.

12.7 Price Changes

12.7.1 We reserve the right to modify pricing, fees, or billing structures at any time.

12.7.2 Any changes will apply to future billing periods or new purchases, unless otherwise stated.

12.8 Taxes

12.8.1 All fees are exclusive of any applicable taxes unless stated otherwise.

12.8.2 You are responsible for any taxes, duties, or charges applicable to your use of the services.

12.9 Disputes

12.9.1 If you believe a billing error has occurred, you must notify us within a reasonable period.

12.9.2 We reserve the right to review and determine billing disputes at our discretion.

13. Refunds and Cancellations

13.1 General Policy

13.1.1 Unless expressly stated otherwise in writing, all fees paid for services on the Chai Pe Charcha Websites are non-refundable.

13.1.2 By purchasing any paid service, you acknowledge and agree that you are not entitled to a refund except as required by applicable law.

13.2 No Refund Circumstances

13.2.1 Refunds will not be provided in the following circumstances:

(a) where services have been partially or fully used;

(b) where a listing or service has been active for any period of time;

(c) where you no longer wish to use the service;

(d) where you are dissatisfied with performance, results, or outcomes;

(e) where access has been suspended or terminated due to your breach of these Conditions;

(f) where you fail to cancel before the start of a new billing period.

13.3 Cancellation of Services

13.3.1 You may cancel your subscription/ direct debit or paid services at any time, subject to any minimum term agreed at the time of purchase.

13.3.2 Cancellation will take effect at the end of the current billing period unless otherwise stated.

13.3.3 No refunds or credits will be issued for any unused portion of the service period.

13.4 Free Trial Conversion

13.4.1 Where a Free Trial Period applies, charges will begin automatically upon expiry of the trial unless cancelled before the end of the trial period.

13.4.2 Failure to cancel before the end of the Free Trial Period will result in full charges being applied for the applicable billing period.

13.5 Exceptional Circumstances

13.5.1 We may, at our sole discretion, consider refund requests in exceptional circumstances.

13.5.2 Any such decision shall be made on a case-by-case basis and shall not create any obligation to provide refunds in similar situations.
